Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Teeveo website and platform operated by [Teeveo Pty Ltd] ("Teeveo", "we", "us"). By accessing or using the platform you agree to these Terms. If you do not agree, do not use the platform.
1. The service
Teeveo provides a retail-media platform that connects advertisers with digital screens in physical retail locations, including campaign management, a per-play advertising auction, creative moderation, scheduling, playback via the Teeveo device, measurement and reporting. Advertiser-specific and retailer-specific terms also apply and form part of your agreement with us (see our Advertiser Terms and Retailer Terms).
2. Eligibility and accounts
- You must be at least 18 and able to form a binding contract.
- You are responsible for the accuracy of your account information and for all activity under your account, and must keep your credentials secure.
- Where you act on behalf of an organisation, you warrant that you are authorised to bind that organisation to these Terms.
- Notify us promptly of any unauthorised use of your account.
3. Acceptable use
You agree not to:
- use the platform for any unlawful, infringing, deceptive or harmful purpose;
- upload content you do not have the rights to use, or that is illegal, defamatory, obscene or otherwise objectionable;
- interfere with, probe or attempt to gain unauthorised access to the platform or its security;
- reverse engineer, scrape, or build a competing product from the platform; or
- misuse the platform in a way that could damage, disable or impair it.
4. Content and intellectual property
Teeveo and its licensors own all rights in the platform, including its software, design, trademarks and content. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the platform in accordance with these Terms.
You retain ownership of the content you upload. You grant Teeveo a worldwide, non-exclusive, royalty-free licence to host, reproduce, format, schedule and display that content for the purpose of operating the service and delivering your campaigns. You are responsible for your content and warrant that you have all necessary rights to it.
5. Moderation
All advertising creative is subject to mandatory review and approval by a Teeveo administrator before it can serve. We may reject, remove, pause or refuse to serve any content at our discretion, including content that breaches these Terms or a retailer's stated preferences.
6. Fees and payment
Fees, billing, advertiser charges and retailer revenue share are described in the Advertiser Terms and Retailer Terms. You are responsible for applicable taxes. Payments are processed by our third-party payment provider, and your use of that service may be subject to its terms.
7. Privacy
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.
8. Third-party services
The platform may integrate with or link to third-party services. We are not responsible for those services, and your use of them is governed by their own terms.
9. Availability and changes
We provide the platform on an evolving basis and may add, change, suspend or discontinue features at any time. We aim for high availability but do not guarantee uninterrupted or error-free operation, including during the pilot phase.
10. Disclaimers
To the maximum extent permitted by law, the platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, non-infringement, or any warranty as to advertising results, reach, revenue or uninterrupted availability.
11. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where our liability for a failure to comply with such a guarantee can be limited, our liability is limited (at our option) to re-supplying the relevant services or paying the cost of having them re-supplied.
12. Limitation of liability
To the maximum extent permitted by law, and subject to section 11, Teeveo will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity. Our total aggregate liability arising out of or relating to the platform is limited to the greater of the fees you paid to us in the three months before the event giving rise to the liability, or [AUD 100].
13. Indemnity
You agree to indemnify and hold harmless Teeveo and its officers, employees and agents from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your content, your use of the platform, or your breach of these Terms or applicable law.
14. Suspension and termination
You may stop using the platform at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the platform or its users. Provisions that by their nature should survive termination (including sections 4, 10–13) will survive.
15. Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that place.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the "last updated" date. Your continued use after changes take effect constitutes acceptance.
