Retailer Terms

These Retailer Terms apply when you connect screens to the Teeveo network and make advertising space available. They supplement our Terms and Conditions and Privacy Policy. In the event of a conflict on retailer-specific matters, these Retailer Terms prevail.
1. Joining the network
As a retailer, you register your locations and screens, set your advertising preferences, and make advertising space available to demand on the network. You warrant that you own or are authorised to operate the screens and locations you connect, and that doing so does not breach any lease, licence or other obligation.
2. The Teeveo device
- The Teeveo device connects to a compatible display and delivers scheduled content from the platform. During the pilot, setup is arranged with the Teeveo team.
- You are responsible for providing a suitable display, power and internet connection, and for the physical security and proper environment of the device and screens.
- Where a device is supplied by us, it remains our property unless otherwise agreed in writing, and you must return it in good condition (fair wear and tear excepted) on termination or request.
- You must not tamper with, modify, relocate off-network, or attempt to access the software on the device except as intended.
3. Your control over advertising
You can set preferences for the advertising shown in your locations, including blocking advertising categories and specific competing advertisers, keeping screens venue-appropriate, and setting each store's trading hours so ads serve only while you are open. In addition, all creative is moderated by a Teeveo administrator before it can serve. We will use reasonable efforts to honour your preferences, but moderation and preference controls are not guarantees that every play will match your expectations.
4. House content
Where there is no paid demand for a slot, the platform may run your own house promotions as capped fill so a screen is not left dark. House placements are managed through the platform rather than self-scheduled, and are subject to platform-set limits on length and frequency.
5. Revenue share and payment
- You earn a share of the net advertising revenue cleared on your screens, at the revenue-share rate recorded for your organisation.
- Earnings are calculated from cleared, verified plays as recorded by our proof-of-play system, which is the system of record for payouts.
- We will make payments on the schedule and by the method made available in the platform, subject to any minimum payout threshold, valid payment details, and required tax information.
- Amounts may be adjusted for refunds, chargebacks, invalid or fraudulent activity, or errors. You are responsible for taxes on your earnings.
6. No guarantee of demand or revenue
Advertising demand depends on advertiser interest, bids, budgets, your preferences, location and other factors. We do not guarantee any level of fill, demand, revenue or earnings, including during the pilot phase.
7. Your responsibilities
- operate your screens lawfully and in line with any venue, landlord or regulatory requirements;
- not display, through Teeveo, content you are not authorised to display, or content that is unlawful; and
- keep your account and payment information accurate and up to date.
8. Suspension and termination
Either party may end participation as provided in the platform or on reasonable notice. We may suspend or terminate your participation for breach, legal requirement, or to protect the network, advertisers or the public. On termination, you must cease using and (where applicable) return any Teeveo-supplied device; accrued, verified earnings remain payable subject to these Terms.
9. Indemnity
You indemnify and hold harmless Teeveo and its officers, employees, agents and advertisers from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your operation of screens and locations, your breach of these Terms, or your breach of any law or third-party right.
10. Liability and consumer law
The disclaimers, Australian Consumer Law provisions and limitations of liability in our Terms and Conditions apply to these Retailer Terms.
11. General
These Retailer Terms are governed by the laws of New South Wales, Australia. We may update them from time to time as described in our Terms and Conditions. Questions: legal@teeveo.com.
